David Montoya
Mr. Montoya's practice focuses on advising business clients and entrepreneurs on a wide range of business legal needs, including financing transactions, private offerings, venture capital, angel investment, slow money/social investing, crowdfunding, business acquisitions, employment matters, equity compensation, intellectual property and general contract and business matters. Additionally, Mr. Montoya advises investors (both local and national) seeking legal advice and guidance before investing in private equity and debt transactions with issuers in a wide range of industries. As counsel to both issuers and investors in venture capital transactions, Mr. Montoya provides practical advice informed by deep experience, having advised clients in hundreds of transactions in which billions of dollars have been invested. Mr. Montoya also serves as both buy-side and sell-side counsel in small- and mid-market merger and acquisition transactions.
Mr. Montoya often acts as a "general counsel" for businesses that are too small to justify the cost and expense of hiring a dedicated in-house counsel.
Mr. Montoya started his legal career in 1995 at Skadden, Arps. Mr. Montoya received his undergraduate degree in Finance from St. John's University, his MBA from Columbia University Graduate School of Business, and his JD from New York University School of Law. Mr. Montoya is also a CPA. Mr. Montoya is admitted to practice law in New York.
